Acceptance of terms
By accessing or using Clouders websites, requesting quotes, or engaging our services, you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use our services. We may update these terms periodically; continued use after changes constitutes acceptance.
Services
Clouders provides software development, consulting, and related digital services as described in proposals, statements of work, or separate agreements. Specific deliverables, timelines, and fees are defined in those documents and take precedence where they conflict with these general terms.
Your responsibilities
You agree to provide accurate information, timely feedback and approvals, access to necessary systems or stakeholders when agreed, and payment according to the agreed schedule. You represent that you have authority to enter into agreements on behalf of your organization where applicable.
Intellectual property
Unless otherwise agreed in writing, deliverables are licensed or assigned as set out in your project agreement. Pre-existing materials, open-source components, and third-party tools remain subject to their respective licenses. You grant us a limited right to use your marks and materials solely to perform the services.
Fees and payment
Fees, invoicing, and taxes are as specified in your contract or proposal. Late payments may incur interest or suspension of work as permitted by law. Unless stated otherwise, quotes are valid for the period specified and may change if scope or assumptions change.
Limitation of liability
To the fullest extent permitted by law, Clouders is not liable for indirect, incidental, special, or consequential damages, or loss of profits, data, or goodwill. Our total liability for any claim relating to a project is generally limited to fees paid for that project in the twelve months preceding the claim, except where prohibited by law.
Termination
Either party may terminate a project in accordance with the governing agreement. We may suspend or terminate access to our sites or services for breach of these terms or harmful conduct. Provisions that by nature should survive (e.g., IP, liability limits, confidentiality) will survive termination.
Governing law and contact
These terms are governed by applicable laws of the jurisdiction specified in your agreement, or otherwise the laws applicable to Clouders’ place of business. For questions, contact info@clouders.tech. Disputes should first be addressed through good-faith discussion between the parties.
